1. Acceptance of the Terms

These Terms of Service (“Terms”) govern your access to and use of the Phleekz mobile application, website, and related services (collectively, the “Platform”).

Phleekz is owned and operated by Walson Global Inc., a corporation incorporated under the laws of the Province of Ontario, Canada (“Phleekz,” “Company,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Platform, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

2. Eligibility and Age Restriction

• The Platform is intended only for individuals who are at least 18 years of age.
• By using Phleekz, you represent and warrant that you meet this requirement.
• We do not knowingly permit users under 18.
• Any account found to be associated with an individual under 18 may be terminated immediately, with associated data deleted.

3. Description of the Platform

Phleekz is a user-generated content platform that enables users to upload, publish, discover, and share video and image content.

Phleekz functions as a hosting and distribution platform, not a publisher. Content made available on the Platform is provided by users, brands, or third parties.

Phleekz does not pre-screen all content and does not endorse, guarantee, or assume responsibility for user-generated content.

4. Account Registration and Security

To access certain features, you must create an account.

You agree to:

• provide accurate, current, and complete information
• maintain the confidentiality of your login credentials
• be responsible for all activity occurring under your account

Phleekz is not liable for any loss or damage resulting from unauthorized access caused by your failure to secure your account.

5. User Content Ownership and License

5.1 Ownership

You retain ownership of any videos, images, text, or other content you submit (“User Content”).

5.2 License to Phleekz

By posting User Content on the Platform, you grant Phleekz a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• host, store, reproduce, display, distribute, adapt, analyze, and process your content
• operate, improve, promote, and provide the Platform
• enable content visibility, discovery, ranking, and sharing features

This license survives account deactivation or termination where necessary for Platform operations, legal compliance, dispute resolution, or archival purposes.

5.3 Responsibility for Content

You are solely responsible for:

• the legality and accuracy of your content
• securing all necessary rights, permissions, and licenses
• compliance with applicable laws and these Terms

Phleekz is not responsible for User Content and does not guarantee its distribution or performance.

6. Content Visibility, Ranking, and Distribution

Phleekz uses internal systems to determine how content is surfaced, ranked, limited, or distributed.

You acknowledge and agree that:

• content visibility is not guaranteed
• posting content does not entitle you to reach, views, engagement, or monetization
• ranking and visibility decisions are discretionary
• Phleekz may limit, deprioritize, or remove content at any time

Any reference to posting content “first” on Phleekz does not constitute a promise or guarantee of performance outcomes.

7. Moderation and Enforcement Authority

Phleekz reserves the right, but does not have the obligation, to:

• remove or restrict access to content
• limit functionality or visibility
• suspend or terminate accounts
• take enforcement action with or without notice

Enforcement decisions may be made to:

• enforce these Terms or Community Guidelines
• comply with legal obligations
• protect users, brands, and platform integrity

Phleekz is not required to provide explanations for individual moderation actions.

8. Verification Badges and Trust Indicators

Phleekz may offer verification badges or trust indicators to certain accounts.

You acknowledge and agree that:

• verification is discretionary, not a right
• verification does not imply endorsement, partnership, or guarantee
• verification does not affect or guarantee content visibility or ranking
• verification status may be revoked, modified, or discontinued at any time
• misuse or misrepresentation of verification status is a violation of these Terms

Verification criteria, processes, and availability may change without notice.

9. Paid Content, Advertising, and Promotions

Phleekz may introduce:

• paid placements
• promoted content
• advertising programs
• brand partnerships
• creator monetization features

You acknowledge that:

• paid placements may affect content visibility
• participation is optional and discretionary
• Phleekz does not guarantee revenue, exposure, or outcomes
• separate terms may apply to paid features

10. Prohibited Conduct

You agree not to:

• violate laws or regulations
• infringe intellectual property or privacy rights
• upload misleading, deceptive, or fraudulent content
• manipulate engagement, ranking, or visibility systems
• impersonate individuals or entities
• distribute malware or harmful code
• abuse reporting or moderation mechanisms

Violations may result in immediate enforcement action.

11. Intellectual Property Rights

All Platform software, design, trademarks, logos, and proprietary systems are owned by or licensed to Phleekz and Walson Global Inc.

Nothing in these Terms grants you ownership rights in the Platform itself.

12. Suspension and Termination

You may stop using the Platform at any time.

Phleekz may suspend or terminate your account:

• for violations of these Terms
• for legal, regulatory, or security reasons
• at its sole discretion

Termination does not relieve you of obligations incurred prior to termination.

13. Disclaimers

The Platform is provided “as is” and “as available.”

Phleekz disclaims all warranties, including but not limited to:

• uninterrupted or error-free service
• accuracy or reliability of content
• content performance or visibility outcomes

Use of the Platform is at your own risk.

14. Limitation of Liability

To the maximum extent permitted by law:

Phleekz and Walson Global Inc. shall not be liable for:

• indirect, incidental, or consequential damages
• loss of data, revenue, reputation, or opportunity
• content moderation or visibility decisions
• user interactions or disputes

Total liability shall not exceed the amount paid by you to Phleekz in the preceding twelve (12) months, if any.

15. Indemnification

You agree to indemnify and hold harmless Phleekz and Walson Global Inc. from any claims arising out of:

• your use of the Platform
• your content
• your violation of these Terms

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada.

17. Changes to the Terms

Phleekz may update these Terms at any time.

Continued use of the Platform after changes constitutes acceptance of the revised Terms.
